1. Agreement
These Terms of Service ("Terms") are a binding agreement between COREWORKS AI INC ("Coreworks," "we," "us"), a Delaware corporation with its principal place of business at 4797 Northdale Drive, Fremont, CA 94536, and the entity or person ("Customer," "you") accessing our platform and related services (the "Service").
By accessing or using the Service, you agree to these Terms. If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation.
2. The Service and Licence
Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable right to access and use the Service during your subscription term, for your internal business purposes.
3. Accounts
You must provide accurate registration information and keep your credentials secure. You are responsible for activity under your account. Notify us promptly of any unauthorised use.
4. Customer Data
"Customer Data" means the data, content, and materials that you or your users submit to or connect with the Service.
As between the parties, you retain all rights in Customer Data. You grant us a limited licence to host, process, and transmit Customer Data solely to provide and support the Service.
You are responsible for the accuracy of Customer Data and for your rights to submit it. Our processing of any personal data within Customer Data is governed by our Privacy Policy and, where applicable, a Data Processing Agreement.
5. AI Features and Output
The Service uses artificial intelligence and large language models to generate queries, analyses, reports, and other outputs ("Output").
- Output may be inaccurate, incomplete, or unsuitable for a given purpose, and must be reviewed by a qualified human before you rely on it, particularly for financial decisions.
- Coreworks does not provide financial, investment, accounting, tax, or legal advice.
- Coreworks does not use Customer Data to train foundation models.
6. Acceptable Use
You will not:
- Use the Service unlawfully or to infringe the rights of others
- Reverse engineer or resell the Service, or exceed your authorised use
- Upload malware or attempt to breach security
- Submit data you lack the rights to submit
- Use Output in violation of applicable law
7. Third-Party Services
The Service integrates third-party services, for example cloud hosting and payment processing. Your use of those services may be subject to their own terms. We are not responsible for third-party services.
8. Fees and Payment
Fees are as set out in your order or plan. Payments are processed through Stripe, and you authorise the applicable charges.
Fees are exclusive of taxes, and you are responsible for any applicable taxes, excluding taxes on our net income. Except as required by law or expressly stated, fees are non-refundable.
9. Confidentiality
Each party will protect the other's non-public information disclosed in connection with the Service, and will use it only to perform under these Terms.
10. Intellectual Property
We and our licensors own the Service and all related intellectual property, excluding Customer Data. Any feedback you provide may be used by us without restriction.
11. Warranty disclaimer
The Service and Output are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement.
12. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages. Our aggregate liability will not exceed the amounts paid by you for the Service in the 12 months preceding the claim.
13. Indemnification
You will indemnify us against claims arising from your Customer Data or your misuse of the Service.
14. Term and Termination
These Terms apply for as long as you use the Service. Either party may terminate for material breach that remains uncured after 30 days' notice.
On termination, your right to use the Service ends. We will make Customer Data available for export for 30 days, after which we may delete it.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. The exclusive venue for disputes is the state or federal courts located in California, and the parties consent to that jurisdiction.
16. Changes to These Terms
We may update these Terms. Material changes will be notified through the Service or by email, and continued use constitutes acceptance.
